CHAPTER II

ANNUAL DUES


Section 10. Annual Dues. In order to maintain a viable society that will remain financially sound and to sustain a balanced budget, annual dues for the Memphis Dental Society shall be established by a 3/4 vote of the Board of Directors.

(A) Active Members. Dues for membership in the Memphis Dental Society are established by the Board of Directors. The annual dues for members shall be due and payable each January except that any dentist, who satisfies the eligibility requirements for active membership under Chapter I of these Bylaws and who satisfies any of the following conditions shall be entitled to pay the reduced active member dues listed under such satisfied condition so long as such dentist maintains continuous membership, subject to the further reductions permitted under the further provisions of Chapter X.

1. On a one-time basis, the dentist, when awarded a D.D.S. or D.M.D. degree, shall be exempt from the payment of active member dues for the remaining period of that year, and shall pay 25% of active member dues for the first full calendar year following the year in which the degree was awarded, 50% of active member dues in the second year, 75% in the third year and 100% in the fourth year and thereafter.

2. The dentist who is engaged full-time in:

(a) An advanced training course of not less than one academic year’s duration in an accredited school or residency program in areas neither recognized by the American Dental Association nor accredited by the Commission on Dental Accreditation or;

(b) A residency program or advanced education program in areas recognized by the American Dental Association and in a program accredited by the Commission on Dental Accreditation shall pay twenty dollars ($20.00) due on January 1 of each year until December 31 following completion of such program. For the dentist who enters such a course or program, the applicable foregoing condition (1) shall toll until completion of that program. Upon completing the program, the dentist shall pay dues for active members at the next period-in-time level that is applicable under condition (1).

3. An active member who is serving dentistry full-time for a charitable organization and is receiving neither income nor a salary for such charitable service other than a subsistence amount which approximates a cost of living allowance shall pay dues of five dollars ($5.00) due January 1 of each year provided that such charitable service is being performed continuously for not less than one year and provided further that such member does not supplement such subsistence income by the performance of services as a member of the faculty of a dental or dental auxiliary school, as a dental administrator or consultant, or as a practitioner of any activity for which a license to practice dentistry or dental hygiene is required.

4. Those members elected to active membership in this Association for the first time or reinstated after an entire year lapse in membership and who are elected after July 1, shall pay half of the current year’s dues; and who are elected after October 1 shall pay one-fourth (1/4) of the current year’s dues except in the case of a recently graduated student member, upon classification as an active member shall pay no further dues for the remainder of the calendar year in which the member was entitled to the benefits of student membership.

(B) Life Members.

1. Active Life Members: Regardless of a member’s previous classification of membership, the dues of life members who have not fulfilled the qualifications as established by the Tennessee Dental Association and the American Dental Association with regard to income related to dentistry shall be fifty percent (50%) of the dues of active members, due January 1 of each year.

2. Retired Life Members: Life members who have fulfilled the qualifications as established by the Tennessee Dental Association and the American Dental Association with regard to income related to dentistry shall be exempt from payment of dues.

(C) Student Members.

1. No dues will be assessed pre-doctoral student members.

2. The dues of a dentist who is engaged full-time in either an advanced training course of not less than one academic year’s duration in an accredited school or residency program in areas neither recognized by the American Dental Association nor accredited by the Commission on Dental Accreditation or in a residency program or advanced education program in areas recognized by the American Dental Association and in a program accredited by the Commission on Dental Accreditation shall be thirty dollars ($30.00) due January 1 of each year.

3. Student membership terminates on December 31 after graduation or after completion of a residency or graduate work.

(D) Honorary Associate Members. Honorary members shall be exempt from payment of dues.

(E) Associate Members. Associate members shall be exempt from payment of dues.

(F) Retired Members. The annual dues for retired members shall be twenty-five percent (25%) of the annual dues of active members, due and payable January 1.

(G) Dental Office Auxiliary Members. The Dental Office Auxiliary annual dues for the Society shall be $10.00 due and payable January 1.

(H) Affiliate Members.

1. Affiliate members shall pay dues on a calendar year cycle. Dues will be equal to the current dues of Memphis Dental Society members. This dues amount shall be subject to change as dictated by the Memphis Dental Society Board of Directors and general membership of the Memphis Dental Society.

2. Affiliate members shall receive renewal of membership notice in December of the concluding year for renewal of membership in the following year. Dues will be due and payable prior to the January meeting of the following year.

(I) Immediate Members. Immediate members shall pay no dues for the remainder of the calendar year in which the member was entitled to the benefits of immediate membership.

(J) Full-time Faculty Members. The annual dues of all full-time dentist faculty members of institutions offering American Dental Association accredited programs in Tennessee shall be one-half annual dues, due and payable January 1.

(K) Loss of Membership and Reinstatement.

1. An active, active life, retired or student member whose dues have not been paid by March 1 of the current year shall cease to be a member of this Society, and notification shall be given in writing that such action has been taken.

2. To reinstate a membership that has been rendered void (lapse for less than one year), the Society shall collect a $25.00 penalty in addition to the current dues of that year.

3. To reinstate a membership that has lapsed for more than one year, the Society shall require a new application for membership and collect a $25.00 penalty in addition to the current year’s dues.

(L) Dues of Members who Suffer Financial Hardship. Those members who have suffered a significant financial hardship that prohibits them from payment of their full dues may be excused from the payment of fifty percent (50%), seventy-five percent (75%) or all of the current year’s dues as determined by the Board of this Society. The Society secretary shall certify the reason for the waiver to the Tennessee Dental Association and American Dental Association, and those Associations shall provide the same proportionate waiver of their dues as that provided by this Society.

(M) Part Time Practice or Leave of Absence. There may be a reduction of Memphis Dental Society dues, as determined by the Board of Directors, for a leave of absence from full time practice.

CHAPTER III

NOMINATION, ELECTION OF OFFICERS, EXECUTIVE COUNCIL MEMBERS OF STANDING COMMITTEES, TRUSTEE TO THE TENNESSEE DENTAL ASSOCIATION, DELEGATES AND ALTERNATE DELEGATES TO THE TENNESSEE DENTAL ASSOCIATION


Section 10. Nomination Committee. The nominating committee shall consist of nine (9) members, chaired by the President-Elect and the immediate past four (4) presidents (living) and four (4) at large positions nominated from the floor at the October general membership meeting and selected by majority vote by the voting members at the November general membership meeting.

Section 20. Nominations. Nominations for elective positions of the Memphis Dental Society shall be made by the nominating committee. The nominating committee shall present one nomination for President-Elect, Vice President, Secretary, Treasurer, and Trustee to the Tennessee Dental Association. Executive council positions, delegates and alternate delegates to the Tennessee Dental Association shall have more than one person nominated. Any member may make a nomination from the floor for elective office at the meeting at which the nominating committee present their candidates. No further opportunity shall be given for such nomination.

Section 30. Elections. Election of all officers shall be by secret ballot. The candidate receiving the most votes shall be elected.

(A) Absentee Balloting. Absentee voting for the Memphis Dental Society election of officers shall be permissible and subject to the following procedure:

1. A list of candidates shall be published in the newsletter at least one month prior to the election of officers.

2. There will be a reminder in that newsletter that absentee balloting is permissible, subject to the following procedure:

(a) You must vote in person at the Memphis Dental Society Executive Office or Memphis Dental Society Board designated location. Office hours of the Memphis Dental Society Executive Office will be published in the Memphis Dental Society newsletter.

(b) You must vote before 12:00 noon on the day of the election.

(c) At the time that you vote, your name will be checked off the master list of Memphis Dental Society voting members and designated as an absentee ballot.

(d) The master list of Memphis Dental Society voting members who voted absentee, along with the ballots will be taken to the place of the election by the Vice President of the Memphis Dental Society. This list will then be cross checked with the list of Memphis Dental Society voting members at the place of the election and the absentee ballots will be added in with the other ballots for the purpose of tabulating total votes.

Section 40. Members of the Councils. Members of the elective councils of this Society shall be elected at the annual meeting for a term of three years.

Section 50. Trustee to the Tennessee Dental Association. A trustee shall be an active or life member, in good standing of the Tennessee Dental Association for at least five (5) years and a fully privileged member of this Society for at least three (3) years. If the status of any Trustee changes in regard to the preceding qualifications during his/her term of office, that office shall be declared vacant by the President of the State Association and the President of the Society shall fill the vacancy by appointing a member of the Society to serve as a member of the Board until a successor can be elected. The term of office for Trustee shall be limited to two (2) terms of three (3) years each. If a member is elected to fill an unexpired term, this will not limit him/her from serving two terms of three years each.

Section 60. House of Delegates.

(A) Representation. The Society shall be entitled to one (1) delegate without regard to the number of its members. The remaining number of delegates shall be allocated proportionately to their number of active members as determined by the Tennessee Dental Association.

(B) Qualifications. Each member of the House of Delegates shall have been a fully privileged member in good standing of the American Dental Association and of the Tennessee Dental Association for at least five (5) years and a fully privileged member in good standing of this Society for at least two (2) years. Should the status of any member of the House change with regard to the preceding qualifications during their term of office, that office shall be declared vacant; and, the President of this Society shall fill the vacancy by appointing a member of this Society to serve as a member of the House of Delegates until a successor can be elected. In the absence of a delegate and an alternate delegate, the President may appoint a substitute delegate for that meeting.

(C) Term of Office. The term of office of each member of the House of Delegates shall be for a period of three (3) years.

(D) Term of Office. The term of office of each Alternate Delegate shall be for a period of three (3) years.

Section 70. Vacancies. Vacancies in any of the elective offices shall be filled by an appointment from the Board of Directors. The appointment shall be for the remainder of the vacant term.

(A) If the office of the President becomes vacant the Vice President shall assume the duties of the President.

(B) If the office of the President-Elect becomes vacant, it shall be filled at a special election to be held at the next general scientific meeting after the vacancy occurs. The current Nominating Committee shall present one nomination at that meeting. Any member may make a nomination from the floor for the vacant office at that meeting. No further opportunity shall be given for such nomination. Voting will take place at that meeting.

CHAPTER IV

DUTIES OF OFFICERS


Section 10. Duties of the President. The ability to speak for the Society as a whole is limited to the President. The President serves as the official representative of the Society in all contacts with government, civic, business, and professional organizations unless he/she specifically appoints another in his/her stead. He/she shall:

1. be the most visible leader of the profession in the District during the term of office. It shall be his/her pride and ambition to leave the Society in better condition, in both scientific attainment and harmony, than at the beginning of his/her term.

2. preside at all meetings of the Society and perform such other duties as custom and parliamentary usage require.

3. be the Chairman of the Board of Directors and appoint the Chairman of all Standing and Elective Committees.

4. shall appoint all other Committees as the need arises, and shall fill, by appointment, vacancies occurring in Committees during his/her term of office.

5. deliver a President's address at the annual meeting.

Section 20. Duties of the President-Elect. The duties of the President-Elect shall be to:

1. assist the President in performance of his/her duties.

2. be chair of the Committee on Recruitment and Retention of Membership and notify members whose dues are delinquent of the sequence of events leading to expulsion from the society.

3. succeed to the Office of President at the next annual session.

(A) A vacancy occurring in this office shall be filled at a special election to be held at the next general scientific meeting after the vacancy occurs according to Chapter III, Section 70, Paragraph B.

Section 30. Duties of Vice President. The duties of the Vice President shall be to:

1. assist the President in performance of his/her duties.

2. preside in the absence of the President.

(A) The Vice President shall succeed to the Office of the President in case of vacancy of that office from any cause.

Section 40. Duties of the Secretary. The duties of the Secretary shall be to:

1. serve as custodian of all books, records, papers, the seal and charter of this Society.

2. keep a register of the members of this Society.

3. collect dues, assessments and penalties from the members and remit same to the Treasurer of this Society on the first and fifteenth of each month.

4. furnish the treasurer with a copy of the approved budget appropriation for the fiscal year.

5. give due notice of the time and place of all regular and special meetings to the membership of this Society.


6. notify all members of election to office or appointment to committees.

7. certify to the Secretary of the Tennessee Dental Association the names and addresses of the Trustees and Alternate Trustees elected by this Society not later than December 31 of each year.

8. affix the seal of this Society to all documents that may require same.

9. submit on or before April 1 of each year a report on the activities of this Society, for the preceding year to the Secretary of the Tennessee Dental Association.

10. file with the Secretary of the Tennessee Dental Association at least thirty (30) days prior to the first day of any annual or special business session of the General Assembly, the names of the active and life members in good standing of this Society.

Section 50. Duties of the Treasurer. The duties of the Treasurer shall be to:

1. receive all funds belonging to this Society from the Secretary and issue receipts in duplicate for same.

2. disburse no more funds than have been appropriated for each fiscal year of this Society.

3. remit to the treasurer of the Tennessee Dental Association not later than March 31, the annual dues of the members of this Society, in the Tennessee Dental Association and the American Dental Association.

4. serve as custodian of all monies, securities and deeds belonging to this Society which may come into his/her possession.

5. submit a full audited report of the financial condition of this society for the fiscal year in writing to each member of the Board of Directors five (5) days prior to the February meeting.

6. invest funds only after a majority vote of approval by the members of this Society.

7. furnish adequate bond at the expense of this Society.

8. perform such other duties as usually appertain to this office or as may be required by these By-laws.

CHAPTER V

DUTIES OF THE TRUSTEE


Section 10. Duties of the Trustee. The Trustee to the Tennessee Dental Association elected by members of this Society shall attain and faithfully represent the profession of this District and report proceedings of that body to members of this Society. The Trustee shall serve three (3) years. The Trustee may be re-elected for a second three (3) year term.
